Terms of Service

1. Acceptance of Terms

By accessing or using Fintropy (the “Platform”), a product of Nuvika Technologies (“Nuvika,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Platform. Your continued use following any update constitutes acceptance of the revised Terms.

2. Description of Services

Fintropy is a multi-cloud FinOps platform providing:

  • Cloud cost visibility, anomaly detection, and spend optimisation across AWS, Azure, and GCP
  • Automated waste detection across 184+ rule categories (idle resources, overprovisioning, orphaned assets)
  • SLA breach correlation and automated claim filing against cloud provider SLAs
  • Budget tracking, alerting, and forecasting
  • Team cost allocation and multi-tenant reporting
  • Read-only integration via IAM roles, Azure Lighthouse, and GCP service accounts

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

3. Accounts and Access

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access at security@nuvikatech.com

Accounts are for the registered organisation only. You may not share credentials or resell access without written consent.

4. Cloud Account Access

To deliver its services, Fintropy requires read-only access to your cloud environments. You authorise Nuvika to:

  • AWS: Assume a cross-account IAM role with read-only permissions deployed via the provided CloudFormation template
  • Azure: Access subscriptions delegated via Azure Lighthouse using Reader and Cost Management Reader roles
  • GCP: Use a service account with Viewer and Billing Account Viewer permissions

Our Access Commitment

Fintropy access is strictly read-only. We never modify, delete, or provision resources in your environment. Credentials are stored encrypted at rest and in transit. You may revoke access at any time by removing the IAM role, Lighthouse delegation, or GCP service account binding.

5. Data and Confidentiality

You retain full ownership of all cloud billing records, cost data, and resource metadata (“Customer Data”). Nuvika processes Customer Data solely to provide and improve the Platform. Both parties agree to keep confidential information in strict confidence. Nuvika may use anonymised, aggregated, non-identifiable data to improve benchmarks and publish industry reports. Customer Data is never sold to third parties in identifiable form.

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of applicable regulations
  • Reverse-engineer, decompile, or disassemble the Platform
  • Circumvent any access controls or security mechanisms
  • Upload malicious code, viruses, or other harmful components
  • Process data belonging to organisations you are not authorised to represent
  • Interfere with or disrupt the integrity or performance of the Platform
  • Reproduce or resell the Platform without written authorisation

7. Fees and Payment

Subscription fees are set out in the Order Form. Unless otherwise stated:

  • Fees are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by law
  • Prices may be updated with 30 days’ written notice

Applicable taxes are your sole responsibility, excluding taxes on Nuvika’s net income.

8. Intellectual Property

All rights in the Platform — including software, algorithms, scan rules, UI design, trademarks, and documentation — remain exclusively with Nuvika Technologies. These Terms grant you only the limited right to use the Platform as described herein. You grant Nuvika a limited licence to process your Customer Data as necessary to deliver the services.

9. Service Level & Availability

Nuvika targets 99.5% monthly uptime for the Fintropy Platform. Scheduled maintenance will be communicated at least 48 hours in advance. Unplanned downtime credits, if applicable, are set out in your Order Form. Nuvika is not responsible for delays in cloud provider billing data affecting SLA breach claim timeliness.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Cost savings identified by Fintropy are recommendations only. Nuvika does not guarantee any specific savings outcome.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVIKA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOSS OF PROFITS. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE PRECEDING TWELVE MONTHS, OR (B) USD 500.

12. Indemnification

You agree to indemnify and hold harmless Nuvika Technologies and its officers, directors, employees, and agents from claims arising out of: (a) your use of the Platform in violation of these Terms; (b) your Customer Data; or (c) your violation of any third-party rights.

13. Termination

Either party may terminate with 30 days’ written notice. Nuvika may suspend or terminate access immediately for material breach (uncured after 15 days’ notice), non-payment after a 10-day grace period, or insolvency. Customer Data will be available for export for 30 days post-termination, then securely deleted.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, they proceed to binding arbitration under the Arbitration and Conciliation Act, 1996 of India, seated in Thane, Maharashtra. Either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be notified at least 30 days in advance via email or within the Platform. Continued use after the effective date constitutes acceptance.
